The mantra of almost every business magazine
from the Harvard Business Review to Business Week has one common thread—increase stakeholder value. Public companies are valued every second of every hour the markets are open, yet it seems private
companies are only valued at the end of the current owner's possession when a transaction closes for the sale of their business, or when they die. This lack of
knowledge of the value of a business compromise a business owner's (or his / her family's) position to negotiate a sale or transfer of the company and plan for retirement (or plan for the future).
ValueNomics developed the proprietary service known as First Blush to give the business owner a periodic snap shot of business value. The 1st Blush Valuation® is
meant to be performed quickly and for a reasonable price. The report is brief and focuses on the result—the value of the business—and includes a management
report with suggestions on what might be done to enhance its value. Because this service and resulting report do not meet disclosure standards for the valuation
profession, it is restricted to "internal use only."
A First Blush Valuation can affect the value received for a company. It can help with meeting the sales price or value expectation of the seller.

This service is "limited." Why? To save the
client time and money yet meet disclosure standards for government compliance under Revenue Ruling 59-60.
How is the service limited? By relying more heavily on ValueNomics' experience, knowledge and training. Limited Scope reports provide valuations for incentive
stock options, gifting of family limited partnership (FLP's) interests, buy/sell agreements, transaction planning and many other instances where the depth of a Full Scope Valuation is not required.
There are areas, however, where a Limited Scope is not recommended. Limited Scope is not recommended for financial reporting for matters like FSAS 141/42,
complex estate tax returns (Form 706), litigation services or other instances where in-depth research, analysis, and report writing are required (see Full Scope Valuation service).
Limited Scope reports have been followed by government agencies: for example, the IRS and most recently ValueNomics' Limited Scope reports have been
accepted and followed by the California State Attorney General's office for donation to a charitable foundation.

The "full scope" is a complete valuation
service that includes a comprehensive report for filing with government agencies, commissions, the courts, in support of complex business transactions like merger and acquisition, and for financial reporting.

From time to time foreign interests invest in US
companies or transfer technology abroad. In these situations, there is normally a need for an independent valuation to suit the requirement of
the Board of Directors, the US government, or foreign government. ValueNomics has performed these valuations for foreign interests from Germany, the United Kingdom, Singapore, Korea, China, and Japan.

Pricing and Delivery |

When quoting an engagement price, ValueNomics will consider the base price and adjust it according to the complexity of
a situation and associated risk. With the exception of litigation services, ValueNomics' fees are fixed at the time of engagement. Litigation services, when performed, are based on hourly rates plus out-of-pocket costs.
Delivery is a function of the scope of service and current engagement backlog.
In general, reports are delivered within 2 to 8 weeks. The clock begins running when a signed engagement letter, an advance on agreed fees, all requested documents, and a conducted client interview have been obtained by ValueNomics. Through experience with about 1,000 valuations, most delays in service have been related to procrastination of these required deliverables.
